Bifocal Insights, LLC (“Bifocal”, “we”, “us”, or “our”) welcomes you. These Terms & Conditions (“Terms”) govern your participation as a research respondent, your use of our websites and services, and your relationship with us.
1. Acceptance of Terms
By registering for or participating in any research project, interview, focus group, survey, or other engagement offered through Bifocal (“Research Activities”), you agree to these Terms. If you do not agree, please do not participate.
2. Scope & Use of Services
These Terms apply to your participation in Research Activities conducted or facilitated by Bifocal, as well as access to our websites, communications, scheduling platforms, payment systems, and any related online portals or apps. You agree to provide truthful, accurate, and up‑to‑date information when registering or participating. Your participation is voluntary, and you may decline or discontinue participation at any time without penalty.
3. Eligibility
You must meet the eligibility criteria communicated for each Research Activity. Participants must generally be 18 years or older. Your participation is for your personal, non‑commercial use. You may not sell, resell, or otherwise commercially exploit your participation.
4. Registration, Accounts & Credentials
You may need to register or provide professional and contact details. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. Notify us immediately of any unauthorized use or breach.
5. Participation and Honoraria
If a Research Activity offers an honorarium, incentive, or payment, you must follow the provided instructions. Payment depends on eligibility verification and full participation. Honoraria are research incentives, not wages. Misrepresentation may result in forfeiture.
6. Prohibited Conduct
You agree not to use automated tools, falsify data, share confidential materials, participate multiple times unless authorized, or violate applicable laws in connection with your participation.
7. Confidentiality & Use of Research Materials
You may be asked to sign an NDA if research involves proprietary information. Your responses may be used in anonymized or aggregated form by Bifocal, clients, or sponsors. PII will not be shared with end sponsors without your explicit consent. You may not record sessions without authorization.
8. Intellectual Property
All research materials and platforms are proprietary to Bifocal or licensors. You may not copy, distribute, or create derivative works without written consent. Your responses may be used in aggregated form without further compensation.
9. Termination of Participation
Bifocal may suspend or terminate participation or account access for breach or any reason at its discretion. Upon termination, you may forfeit eligibility for future research or unpaid honoraria.
10. Disclaimers & Limitation of Liability
Research Activities are provided 'as is' without warranties. To the maximum extent permitted by law, Bifocal and its affiliates are not liable for indirect or consequential damages. Total liability shall not exceed the total honoraria paid to you in connection with the relevant research.
11. Privacy and Data Protection
Personal data is processed in accordance with our Privacy Policy. By participating, you consent to data collection and processing as described therein.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of [Insert State], U.S.A. Any dispute shall be resolved by binding arbitration in Columbia, SC, under the rules of the American Arbitration Association. Participants waive the right to a jury trial or class action, unless prohibited by law.
13. Changes to the Terms
We may revise these Terms at any time, with updates posted on our website. Continued participation constitutes acceptance of updated Terms.
14. Severability & Waiver
If any provision is found unenforceable, it shall be severed and the remainder shall continue in full effect. Failure to enforce any right does not constitute a waiver.
